Terms of Service

Local Craft Labs (“Local Craft Labs,” “we,” “us,” or “our”) develops and operates software products and provides custom design, development, integration, marketing, consulting, and related professional services.
These Terms of Service, including the Community Standards and Acceptable Use Policy below (collectively, the “Terms”), govern your access to and use of:
Websites operated by Local Craft Labs;
Software, platforms, applications, and products operated by Local Craft Labs;
Custom design, development, integration, marketing, consulting, and related professional services; and
Any other services that link to or incorporate these Terms.
These websites, products, applications, and professional services are collectively referred to as the “Services.”
By accessing or using the Services, creating an account, purchasing a subscription, entering into a professional engagement with us, or otherwise accepting these Terms, you agree to comply with these Terms and our Privacy Policy, which is incorporated into these Terms by reference.
Certain Local Craft Labs products may have additional terms, policies, license agreements, community standards, or other requirements. Those product-specific terms will apply in addition to these Terms. If product-specific terms conflict with these Terms, the product-specific terms will govern your use of that product.
If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have the authority to accept these Terms on its behalf. In that case, “you” includes both you and the organization.
Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
By accessing or using the Services, you represent that you meet these requirements.
Professional Services and Project Agreements
Custom design, development, integration, marketing, consulting, and other professional services may be governed by a separate proposal, statement of work, service agreement, order form, or other written agreement.
These project-specific agreements may establish:
The scope of the Services;
Project requirements and responsibilities;
Fees and payment schedules;
Timelines and delivery expectations;
Revision or approval processes;
Ownership and licensing of deliverables;
Confidentiality obligations;
Support and maintenance terms; and
Termination rights.
If a signed project-specific agreement conflicts with these Terms, the signed project-specific agreement will control with respect to that engagement.
Changes to the scope of a professional engagement may require a written change order, revised proposal, additional fees, or an updated delivery schedule.
Your Data
Local Craft Labs complies with applicable privacy and data-protection laws.
Our Privacy Policy provides additional information about how we collect, use, retain, disclose, and protect personal information.
You are responsible for ensuring that any personal information, customer information, contact information, media, files, or other data you provide to us has been lawfully collected and may lawfully be shared with and processed by Local Craft Labs.
Accounts and Account Security
Certain Services require you to create and maintain an account.
You agree to:
Provide accurate and current account information;
Keep your account information updated;
Protect your password and other login credentials;
Restrict unauthorized access to your account; and
Notify us promptly if you suspect unauthorized access, misuse, or a security incident involving your account.
You are responsible for activity conducted through your account unless that activity results directly from Local Craft Labs’ failure to maintain reasonable security practices.
You may not share account credentials in a way that circumvents account limits, subscription requirements, permissions, or security controls.
Your Content
Some Services allow you to submit, upload, store, transmit, publish, or otherwise provide photographs, videos, documents, messages, business information, customer information, event information, marketing materials, project files, or other content (“Your Content”).
You retain ownership of Your Content.
By providing Your Content through the Services, you grant Local Craft Labs a limited, nonexclusive, worldwide license to host, store, reproduce, process, transmit, display, format, modify, back up, and otherwise use Your Content only as reasonably necessary to:
Provide the Services;
Deliver Your Content to intended recipients;
Complete work you have requested;
Maintain and secure the Services;
Troubleshoot technical issues;
Comply with legal obligations; and
Enforce these Terms.
You represent that:
You own Your Content or have permission to use and provide it;
Your Content does not violate the rights of another person or organization;
Our processing of Your Content as described in these Terms will not violate applicable law; and
You have obtained any permissions, releases, licenses, or consents required for the people, businesses, intellectual property, or personal information included in Your Content.
You remain responsible for Your Content and for maintaining copies or backups when appropriate. Local Craft Labs is not responsible for the permanent preservation of Your Content unless a written agreement expressly states otherwise.
Local Craft Labs Intellectual Property
The Services, including their software, source code, designs, interfaces, workflows, documentation, branding, graphics, templates, content, systems, and underlying technology, are owned by or licensed to Local Craft Labs and are protected by applicable copyright, trademark, trade-secret, and other intellectual-property laws.
Except where expressly permitted by these Terms or a separate written agreement, you may not:
Copy, reproduce, sell, license, distribute, or commercially exploit the Services;
Reverse engineer, decompile, disassemble, or attempt to obtain the source code of the Services;
Remove or alter copyright, trademark, attribution, or proprietary notices;
Create derivative products based on the Services;
Use Local Craft Labs’ names, logos, or branding without permission; or
Access the Services for the purpose of creating or improving a competing product.
No right, title, or interest in the Services is transferred to you except for the limited right to use the Services in accordance with these Terms.
Ownership of Custom Work
Ownership of designs, source code, applications, websites, integrations, documentation, content, or other deliverables created through a professional engagement will be determined by the applicable proposal, statement of work, service agreement, or other written agreement.
Unless a written agreement expressly states otherwise:
Local Craft Labs retains ownership of its preexisting tools, code, systems, processes, templates, libraries, methods, know-how, and reusable components;
Third-party software and materials remain subject to their applicable licenses;
Your preexisting content, branding, data, and intellectual property remain yours; and
No ownership rights are transferred until all applicable invoices have been paid.
Feedback
You may provide suggestions, ideas, comments, or other feedback about the Services.
By providing feedback, you authorize Local Craft Labs to use it without restriction or compensation to you. This does not give Local Craft Labs ownership of Your Content, confidential business information, or intellectual property unrelated to the feedback.
Third-Party Services and Integrations
The Services may connect to or rely upon third-party products, platforms, payment processors, social networks, hosting providers, application programming interfaces, or other external services.
Your use of a third-party service may be governed by that third party’s own terms and privacy policy.
Local Craft Labs does not control and is not responsible for:
The availability or performance of third-party services;
Changes made by third-party providers;
Third-party account restrictions or suspensions;
Third-party data practices;
Content hosted by third parties; or
Losses resulting from a third party’s actions, omissions, outages, or security incidents.
A third-party provider may modify or discontinue functionality required by an integration. Local Craft Labs does not guarantee that every third-party integration will remain available or function without interruption.
Fees, Billing, and Payments
Fees for the Services may be established through a pricing page, subscription selection, order form, proposal, statement of work, invoice, or other written agreement.
You agree to pay all applicable fees and taxes according to the payment terms presented to you.
When you purchase a recurring subscription, you authorize the applicable payment provider to charge the payment method associated with your account according to the billing schedule disclosed at purchase.
Refunds, credits, cancellations, and subscription changes are subject to the policies presented with the applicable Service or established in a separate written agreement.
Failure to pay amounts when due may result in the suspension or termination of Services, withholding of deliverables, or referral of an outstanding balance for collection.
Availability and Changes to the Services
We may add, modify, replace, suspend, or discontinue features or portions of the Services.
We do not guarantee that:
The Services will always be available;
Every feature will remain available;
The Services will operate without interruption;
All defects or errors will be corrected; or
The Services will remain compatible with every device, browser, platform, integration, or third-party service.
When reasonably practical, we may provide notice of material changes that substantially affect paid Services.
Termination of Services
You may stop using the Services at any time. Account deletion and subscription cancellation may be subject to product-specific procedures or contractual requirements.
We may restrict, suspend, or terminate access to all or part of the Services if:
You violate these Terms;
You fail to pay amounts when due;
Your activity creates legal, security, operational, or reputational risk;
Your use threatens the Services or other users;
We are required to do so by law or by a third-party provider;
A product or Service is discontinued; or
A separate written agreement permits termination.
When appropriate, we may provide notice and an opportunity to correct a violation. We may act immediately when necessary to protect Local Craft Labs, the Services, our users, or another person or organization.
Sections of these Terms that by their nature should continue after termination will survive, including provisions addressing ownership, payment obligations, indemnification, warranties, liability, and dispute resolution.
Intellectual Property Complaints
If you believe content available through a Local Craft Labs product infringes your copyright, trademark, or other intellectual-property rights, you may report the content by contacting us at holler@localcraftlabs.com.
Please include:
Identification of each copyrighted or otherwise protected work you believe has been infringed;
A description of the allegedly infringing material;
Sufficient information for us to locate the material, including a URL when available;
Your name, mailing address, telephone number, and email address;
A statement that you have a good-faith belief that the disputed use is not authorized by the rights owner, its agent, or the law;
A statement that the information in your notice is accurate;
A statement, made under penalty of perjury, that you are the owner of the relevant rights or are authorized to act on the owner’s behalf; and
Your physical or electronic signature.
We may remove or restrict access to material that we reasonably believe infringes another party’s rights. We may also suspend or terminate accounts associated with repeated infringement.
Submitting knowingly false or misleading infringement claims may expose you to legal liability.
Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Local Craft Labs and its owners, directors, officers, employees, contractors, licensors, service providers, affiliates, and agents from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
Your access to or use of the Services;
Your Content;
Your violation of these Terms;
Your violation of the Privacy Policy;
Your violation of applicable law;
Your infringement or violation of another party’s rights; or
A dispute between you and another user, customer, client, attendee, buyer, seller, contractor, or third party.
This obligation does not apply to the extent a claim results directly from Local Craft Labs’ gross negligence, willful misconduct, or violation of applicable law.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE FULLEST EXTENT PERMITTED BY LAW, LOCAL CRAFT LABS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, RELIABILITY, AVAILABILITY, AND ACCURACY.
LOCAL CRAFT LABS DOES NOT WARRANT THAT:
THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
ALL DEFECTS WILL BE CORRECTED;
THE SERVICES WILL MEET EVERY REQUIREMENT OR EXPECTATION;
INFORMATION PROVIDED THROUGH THE SERVICES WILL ALWAYS BE ACCURATE; OR
DATA OR CONTENT WILL NEVER BE LOST, ALTERED, OR CORRUPTED.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.
Limitation of Liability
To the fullest extent permitted by law, Local Craft Labs and its owners, directors, officers, employees, contractors, licensors, affiliates, service providers, and agents will not be liable for:
Indirect, incidental, special, exemplary, punitive, or consequential damages;
Lost revenue, profits, business, opportunities, customers, goodwill, or anticipated savings;
Loss, corruption, disclosure, or interruption of data;
Business interruption;
Third-party actions or services; or
Damages resulting from your inability to access or use the Services.
Except where a separate written agreement expressly provides otherwise, Local Craft Labs’ total liability arising from or relating to the Services, the Privacy Policy, or these Terms will not exceed the greater of:
$100; or
The amount you paid Local Craft Labs for the applicable Service during the 12 months immediately preceding the event giving rise to the claim.
These limitations apply regardless of the legal theory asserted and even if Local Craft Labs has been advised that damages are possible.
Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, these limitations apply only to the fullest extent permitted by law.
Community Standards and Acceptable Use Policy
Local Craft Labs is committed to maintaining safe, respectful, lawful, and reliable Services.
When using the Services, you agree to the following standards.
No Illegal or Harmful Activity
You may not use the Services to:
Commit or facilitate fraud, identity theft, impersonation, or deception;
Violate applicable laws or regulations;
Distribute malware, viruses, malicious code, or harmful files;
Exploit, harm, or endanger another person;
Promote or facilitate unlawful transactions; or
Obtain unauthorized access to an account, system, network, or data.
No Harassment or Abuse
You may not use the Services to harass, threaten, stalk, defame, intimidate, exploit, or abuse another person.
No Pornographic or Exploitative Content
Unless expressly permitted by product-specific terms, you may not use a hosted Local Craft Labs product to store, publish, share, or transmit pornographic or sexually explicit content.
Content involving the sexual exploitation of minors, nonconsensual intimate imagery, sexual violence, or unlawful sexual content is strictly prohibited under all circumstances.
Respect Intellectual Property
You may not upload, publish, distribute, or use content that infringes another party’s copyright, trademark, privacy, publicity, contractual, or other legal rights.
No Spam or Platform Misuse
You may not:
Send unauthorized or unlawful spam;
Use bots or automated tools that have not been approved by Local Craft Labs;
Scrape or extract information from the Services without permission;
Circumvent usage limits, access controls, or security protections;
Interfere with the operation or performance of the Services;
Probe, scan, or test the vulnerability of the Services without written authorization; or
Use the Services in a way that places an unreasonable burden on our infrastructure.
Truthful Representation
You must provide accurate information when creating an account, conducting business, selling products or tickets, entering into agreements, communicating with others, or representing an organization through the Services.
You may not impersonate another person, business, brand, event, organization, or rights holder.
User Transactions and Agreements
Certain Services may allow users to enter into contracts, sell products or tickets, provide professional services, process payments, collaborate, communicate, or otherwise transact with one another.
Unless Local Craft Labs is expressly identified as a party to a transaction or agreement:
Local Craft Labs is not a party to the transaction or agreement;
Local Craft Labs does not guarantee another party’s performance;
Users are responsible for understanding and honoring their obligations; and
Local Craft Labs is not responsible for disputes, breaches, cancellations, refunds, chargebacks, losses, or damages arising between users.
Reporting Misuse
You agree to report suspected violations, unlawful activity, security incidents, or inappropriate content to holler@localcraftlabs.com.
Right to Remove Content or Accounts
Local Craft Labs may remove or restrict content, accounts, projects, or activity that violates these standards or otherwise creates legal, security, operational, or reputational risk.
Updates to These Standards
Local Craft Labs may amend or update its Community Standards and Acceptable Use Policy. Continued use of the Services after an update constitutes acceptance of the updated standards to the extent permitted by law.
Governing Law and Dispute Resolution
Good-Faith Resolution
Before formally escalating a claim or dispute, you agree to make a good-faith effort to resolve the matter directly with Local Craft Labs.

A description of the issue;
Relevant account, transaction, project, or communication information; and
The resolution you are seeking.
Mediation First
If the parties cannot resolve a dispute directly, they agree to attempt to resolve the dispute through mediation before initiating arbitration or litigation, except where immediate injunctive or other emergency relief is reasonably necessary.
Binding Arbitration
EXCEPT FOR ELIGIBLE SMALL-CLAIMS MATTERS, INTELLECTUAL-PROPERTY CLAIMS, OR CLAIMS SEEKING IMMEDIATE INJUNCTIVE RELIEF, ANY DISPUTE ARISING FROM OR RELATING TO THE SERVICES, THE PRIVACY POLICY, OR THESE TERMS WILL BE RESOLVED THROUGH BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER THE AAA RULES APPLICABLE TO THE DISPUTE.
If a claim qualifies for small-claims court, either party may bring the claim in an eligible small-claims court instead of arbitration.
Governing Law and Venue
These Terms and any dispute arising from or relating to them will be governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
For any dispute that is not subject to arbitration or properly filed in small-claims court, you agree to exclusive jurisdiction and venue in:
The state courts located in Cobb County, Georgia; or
The United States District Court for the Northern District of Georgia, Atlanta Division.
Jury-Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND LOCAL CRAFT LABS KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY CLAIM THAT IS NOT RESOLVED THROUGH ARBITRATION.
Intellectual-Property Relief
Nothing in these Terms prevents either party from seeking temporary, preliminary, or permanent injunctive relief to protect its intellectual-property rights, confidential information, systems, or security.
Miscellaneous
Future Amendments
We reserve the right to modify or update these Terms at any time.
When changes are made, we will publish the updated Terms with a revised “Last updated” date. We may provide additional notice when required by law or when we determine that a change is material.
Your continued use of the Services after updated Terms become effective constitutes your acceptance of those changes to the extent permitted by law.
Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted by law. The remaining provisions will remain in effect.
No Waiver
A failure by Local Craft Labs to enforce a provision of these Terms does not waive our right to enforce it later.
Assignment
You may not assign or transfer your rights or obligations under these Terms without written permission from Local Craft Labs.
Local Craft Labs may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or transfer of the applicable Service.
Entire Agreement
These Terms, the Privacy Policy, applicable product-specific terms, and any signed agreement governing a professional engagement constitute the entire agreement between you and Local Craft Labs regarding the applicable Services.
